Scope, Responsibilities, and the "Legal Jargon" for All Projects

1. The Agreement
1.1 These terms apply to all SEO consultancy and implementation services ("SEO Services") delivered by Colin Noble, trading as Mr Noble SEO ("we", "us", "our", or "I").
1.2 By commissioning any work or project from Mr Noble SEO, the client ("you") agrees to these Terms & Conditions.
1.3 Where additional scope, deliverables, or limitations are agreed, these will be outlined in a separate proposal, quote, or Statement of Work ("SOW"), which takes precedence in case of conflict.
2. Scope of Services
My SEO services may include (but are not limited to):
- Keyword research and content strategy
- SEO forecasting and organic traffic projections
- On-page optimisation (titles, headings, meta tags, internal linking, etc.)
- Technical audits and implementation support
- Performance reporting and recommendations
- SEO copywriting and content briefs
- Link profile reviews and outreach
- Structured data/schema implementation
- Local SEO support (e.g. Google Business Profile, location landing pages)
- AI Overview optimisation (getting surfaced in ChatGPT and Google's AI-generated search summaries)
- Analytics and reporting
Any additional services (e.g., development, new website features, or functionality) will be scoped and billed separately unless specified in your agreement.
3. Your Responsibilities
To deliver effective SEO, you agree to provide:
- Admin access to your CMS, analytics, and Search Console accounts (or delegated access)
- Timely approvals, feedback, or responses to requests
- Additional content or assets where required (e.g. images, videos, PDFs)
- Access or introductions to relevant team members or developers if technical changes are needed
Delays in access or approvals may affect timelines and outcomes.
4. Key Understandings
You acknowledge the following:
- Many external factors, including algorithm changes, competition, and site content, influence SEO results.
- No guarantee is offered of specific rankings, traffic increases, or ROI.
- Rankings may fluctuate due to algorithm updates or other uncontrollable events (e.g. Google penalties or indexing bugs).
- You should not engage in spammy link-building, keyword stuffing, or other black-hat tactics outside of the advice provided.
- If changes are made to the site by third parties, I am not liable for any resulting SEO impact.
5. Rates & Payment Terms
- All standard SEO work is billed at either a day rate or an hourly rate as outlined in your proposal or rate card.
- Payment terms are strictly 15 days from invoice date, unless otherwise agreed.
- Monthly retainers are billed in advance.
- Late payments may incur interest or result in paused service delivery.
6. Cancellations & Notice
- For ongoing work, a 15-day written notice is requested to reduce or cancel services.
- Unused hours in retained time may not be rolled over unless agreed in writing.
7. Confidentiality
All client data, materials, and discussions are treated as confidential and will not be shared outside the working relationship without permission. Likewise, please treat any proprietary strategies or templates provided by Mr Noble SEO as confidential.
8. Data Protection
If any Personal Data is processed in the course of SEO work (e.g. customer contact info, analytics data), I will act only on your instruction and take reasonable technical measures to protect that data.
9. Liability
To the fullest extent permitted by law, my total liability to you in connection with any SEO services provided shall be limited to the total fees paid by you for the specific work that directly caused the issue, and shall not exceed £1,000 in any case.
I am not liable for any indirect, consequential, or business losses, including (but not limited to) loss of search engine rankings, website traffic, revenue, or reputation. SEO involves many third-party factors outside of my control (such as search engine algorithms), and as such, no outcomes or specific ranking positions are guaranteed.
10. Force Majeure
I am not liable for delays or failures caused by events beyond my reasonable control, including but not limited to illness, natural disasters, technical outages, or legal changes.
11. Governing Law
These terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the English courts.
12. Updates to These Terms
These terms may be updated periodically. Clients will be notified of any material changes, and the updated version will always be available at https://mrnoble.co.uk/seo-terms.
